MBL BION Terms and Conditions of Sale By agreeing to purchase the above listed item, the Buyer agrees to the following conditions: 1. Equipment Parts. Seller and Buyer agree that the items (“Equipment Parts”) offered for sale hereby are sold by the Seller on an "AS IS, WHERE IS, WITH ALL FAULTS" basis and the description of the Equipment Parts is based on the best information available to the responsible personnel of Seller. Furthermore, Buyer acknowledges that the Equipment Parts are/have been used and the specific condition of each item is not ascertained. 2. Disclaimer of Warranties. SELLER MAKES NO REPRESENTATION OR WARRANTY WHATSOEVER WITH RESPECT TO THE EQUIPMENT PARTS, INCLUDING ANY (a) WARRANTY OF MERCHANTABILITY; (b) WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE; (c) WARRANTY OF TITLE; OR (d) WARRANTY AGAINST INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY; WHETHER ARISING BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE OR OTHERWISE. BY AKNOWLEDGING THERE TERMS, BUYER AGREES THAT IT HAS NOT RELIED ON ANY REPRESENTATION OR WARRANTY MADE BY SELLER, OR ANY OTHER PERSON ON SELLER'S BEHALF, EXCEPT AS SPECIFICALLY PROVIDED IN THIS AGREEMENT. 3. Delivery. Shipping terms for Equipment Parts are F.O.B. Seller's location, Des Plaines, IL. Shipment of Equipment Parts from Seller’s facility shall be at the sole expense, liability and risk of the Buyer. Buyer can specify carrier preference and Seller shall use reasonable efforts to accommodate such request. 4. Other charges. Buyer will pay the amount of any tax or other charge imposed by law, upon, with respect to, or measured by the sale, shipment, or price of any Equipment Parts sold under this Agreement. 5. Inspection. Buyer shall have the right to inspect the Equipment Parts prior to shipment. Equipment parts will be available for inspection at the request of the Buyer at the places and times specified by Seller. 6. Governing Law. This sale is governed by, the laws of the State of Illinois, United States of America, without regard to the conflict of laws provisions thereof to the extent such principles or rules would require or permit the application of the laws of any jurisdiction other than those of the State of Illinois.
